Terms and Conditions

1. Scope of Services

1.1 We provide digital marketing, automation, and technology services, which may include but are not limited to: AI chatbot development, campaign automation, content generation, social media management, API integrations, analytics, consulting, and business intelligence solutions.

1.2 Services are delivered per the specifications outlined in your service plan or custom agreement and are contingent upon timely provision of all necessary information, content, and credentials from you.

1.3 We reserve the right to refuse service to any person or organization where doing so would violate applicable laws, regulations, or platform policies.

1.4 Use of our Services must comply with all applicable laws and the terms of any third-party platforms integrated into your project.

2. Payment Terms

2.1 An initial setup or onboarding fee may be required before service commencement.

2.2 Unless otherwise agreed in writing, ongoing Services are billed in advance on a recurring basis according to your selected service tier.

2.3 Payments are due upon receipt unless otherwise stated. Failure to pay on time may result in suspension or termination of Services.

2.4 All fees are non-refundable, except as required by law.

3. Term and Termination

3.1 These Terms remain in effect as long as you use our Services.

3.2 Either party may terminate Services with at least 30 days’ written notice prior to the next billing cycle.

3.3 We may terminate Services immediately for breach of these Terms, including but not limited to non-payment, misuse of Services, or violation of platform policies.

3.4 Termination does not relieve you of outstanding payment obligations.

4. Client Responsibilities

4.1 You must cooperate fully and provide necessary access, credentials, business data, and content in a timely, secure manner.

4.2 You represent and warrant that all materials provided are accurate, lawful, and compliant with all relevant regulations and platform guidelines.

4.3 You authorize us to access third-party accounts, tools, or APIs solely for the purpose of delivering agreed Services. You are responsible for safeguarding your login credentials.

4.4 You acknowledge that platform compliance (e.g., acceptable content, advertising rules, messaging limits) is your responsibility.

5. Confidentiality and Privacy

5.1 Both parties agree to maintain strict confidentiality of proprietary or sensitive business information disclosed during the course of Services.

5.2 We will only share your information as necessary to perform Services, comply with law, or with your explicit consent.

5.3 All data handling is governed by our Privacy Policy and applicable data protection laws, including but not limited to CCPA and, where applicable, GDPR.

5.4 You acknowledge that internet-based communications involve inherent security risks, and no system is entirely immune from unauthorized access.

6. Intellectual Property Rights

6.1 Upon full payment, you own the final deliverables created for you, excluding any pre-existing proprietary tools, frameworks, libraries, or templates.

6.2 We retain all rights to our pre-existing intellectual property, tradesecrets, and methodologies.

6.3 We may showcase anonymized versions of completed work in our portfolio and marketing materials unless otherwise agreed.

7. Disclaimers and Limitation of Liability

7.1 Services are provided “as is” and “as available,” without warranties of any kind, express or implied.

7.2 We do not guarantee specific outcomes, as marketing performance depends on many external factors.

7.3 To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or goodwill.

7.4 Our total liability shall not exceed the amount paid for Services in the three (3) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless AI Marketing Base, its officers, directors, employees, contractors, and affiliates against claims, damages, or expenses arising from: (a) your use of Services; (b) your breach of these Terms; (c) your violation of applicable laws or third-party rights; or (d) your misuse of integrated platforms or tools.

9. Third-Party Services and Integrations

9.1 Our Services may connect to third-party platforms or APIs (including Meta, Google, and HubSpot). We do not control or assume responsibility for such platforms.

9.2 You are responsible for understanding and complying with third-party terms, including any restrictions on automation, messaging, or content.

9.3 We are not liable for outages, policy changes, or limitations imposed by third-party providers.

10. Messaging, Communications, and AI Disclosures

10.1 By providing contact details, you consent to receive necessary communications (project updates, billing notices, technical alerts) via email, phone, SMS, or messaging platforms.

10.2 For SMS/Text: message and data rates may apply. Frequency varies. Reply STOP to opt out and HELP for assistance. Our AI agents will always identify themselves as automated systems when initiating contact.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Bynature LLC is registered, without regard to its conflict of law provisions.

12. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
